In 2026, the IRS has increased penalties for late filings. For a non-resident owning a U.S. LLC, “I didn’t know the date” is not a valid excuse. Whether your business made $1,000,000 or $0, you have federal obligations that must be met to keep your LLC in “Good Standing.”
The 2026 Compliance Calendar
- April 15, 2026 – The Big Day: This is the deadline for most Single-Member LLCs (Disregarded Entities) to file Form 5472 and Form 1120. Even if you don’t owe taxes, failing to file these informational forms can result in penalties starting at $25,000.
- June 15, 2026 – The Non-Resident Extension: If you live outside the U.S. and don’t have employees or a physical office there, you generally get an automatic two-month extension to file your personal tax return (Form 1040-NR) if applicable. Note: This does not always apply to the LLC’s corporate forms.
- September 15, 2026 – Extension Deadline: If you filed for an extension (Form 7004) back in April, this is your final, non-negotiable deadline to submit your LLC’s tax paperwork.
- Quarterly Estimated Taxes: If your LLC expects to owe more than $1,000 in taxes for the year, you must pay in four installments:
- Q1: April 15
- Q2: June 15
- Q3: September 15
- Q4: January 15 (2027)

Don’t forget your Annual Report.
- Wyoming: Due on the first day of your anniversary month (the month you formed the LLC).
- Delaware: LLC Franchise Tax is due by June 1st every year.

The IRS electronic filing systems often experience high traffic during the last 48 hours before a deadline. In 2026, we recommend aiming to have all your documents submitted at least 7 days before the actual date. This gives your CPA time to fix any “E-file” rejections without panicking.
